Mike Rose Statement to USAFA AOG: Amending AOG Bylaw

STATEMENT TO AFA AOG BOARD OF DIRECTORS

RE AMENDING AOG BYLAW ART. I, SECT 3d

The Board should amend Bylaw Article I, Section 3d, by deleting the words “while maintaining neutrality towards and refraining from comment on policy decisions of either organization,” for FOUR REASONS:

FIRST REASON:

CONFLICTS WITH ART. III, ARTICLES OF INCORPORATION:  Members approved by referendum the following new requirements for the AOG:

The “duty to inform the AFA’s leadership of collected information, perspectives and recommendations of members of the [AOG] about the Air Force Academy;”

“[T]he promotion of . . . knowledge and understanding of, and adherence to, the United States Constitution;” and

“[E]ncourag[ing] and guarantee[ing] the expressing of noncensored opposing views, regarding policies at the Air Force Academy or within the Armed Forces.” (Emphasis added.)

It is impossible for the AOG to implement these three new requirements without simultaneously commenting on policy decisions of the AFA, Air Force and Space Force.

SECOND REASON:

Articles Pre-empt Bylaws: Because a provision in the Articles of Incorporation pre-empts a provision in the bylaws and because Bylaw Art. I, Section 3d conflicts with Article III of the Articles of Incorporation, these conflicting words should be deleted from Bylaw Art. I, Sect. 3d.

THIRD REASON:

CONFLICTS BETWEEN BYLAWS: Bylaw Article I, Section 2d states that the mission of the AOG is accomplished by “[c]ommunicating to the Air Force Academy’s leadership information and recommendations from members of the AOG about the Air Force Academy, based on the knowledge and experience of AOG members.”  It is impossible for the AOG to implement this new requirement while simultaneously complying with the older Bylaw Art. I, Sect. 3d.

FOUR REASON:

New Bylaw Pre-empts Older Conflicting Bylaws: Because the most recent amendments to Bylaw Art. I, Section 2d, conflict with the older Bylaw Art. I, Section 3d, this conflicting language in Bylaw Art. I, Sect 3d, should be deleted.

Please delete these words in Bylaw Art. I, Sect 3d, to implement the will of the members and so the AOG members do not have to delete this conflicting language in a new referendum.
