A 1967 USAFA grad alerted us to an upcoming USAA annual meeting of this members and proxies to be held on 23 August 2024 at 10:00 am Central Time. This is a virtual meeting. If you are a USAA member, you should have received a notice in the mail about how to attend.

As Chairman of the Board, it is my pleasure to invite you to attend the 2024 Annual Meeting of the Members of United Services Automobile Association to be conducted on August 23, 2024 at 10:00 a.m. Central Time. The meeting will be conducted virtually via webcast to accommodate our worldwide membership.
The Annual Meeting will include a report on our business and consideration of the matters set forth in this Proxy Notice. Your vote is important. Please cast your vote in accordance with the instructions we have provided in this Proxy Notice.

“The USAA organization has apparently embraced DEI within their organization which serves military personnel and their families. In my opinion, every member of the STARRS organization should sign a petition to the USAA Board of Directors to get USAA to disavow the DEI objectives as currently stated in the principles of USAA,” said the USAFA grad.
“Anyone who has a USAA membership or checking/savings account should have received an invitation to attend the USAA Annual meeting. Those who can not physically attend and vote on matters being considered are asked to authorize a “proxy” to vote as a representative of the member. I believe that most of the retired USAF, Navy, and Army officers are probably still members of USAA and should have received the invitation to attend the annual meeting.”

“It may be too late to bring a new matter of consequence before the USAA Annual meeting of 2024 but plans can be made to organize an effort to get USAA to abandon DEI principles, and/or replace management officers that currently support DEI principles for USAA,” he suggested.
That the USAA has embraced the woke DEI agenda is very troubling to many of its members, and it’s one of the top items of concern of people who contact us from all over the country. ARTICLE III: MEMBERS’ MEETINGS
ANNUAL MEETING
Section 1. The annual meeting of the members shall be held once each calendar year, on a date and at a place fixed by a two-thirds vote of the board of directors, for the purpose of electing directors and transacting such other business as may properly be brought before the meeting. For purposes of these bylaws the phrase “as may properly be brought before the meeting” means business identified in the notice of meeting specified in Article III, Section 3, provided however, nothing herein shall prohibit the board of directors from submitting other matters to the members at any member meeting.
Any member(s) representing at least one percent of the entire membership comprised of members meeting all requirements set forth in Article II may bring a matter (other than a nomination of a candidate for election as a director, which is covered by Article VI, Section 3) before an annual meeting of members if such matter
(i) is submitted to the corporate secretary with the consolidated names and signatures of members comprising, in the aggregate, the required one percent of the entire membership no more than one hundred and eighty days, but no less than one hundred and twenty days, prior to such member meeting and
(ii) is a proper matter for member action as determined by the board of directors. In such event, the member(s) representing at least one percent of the entire membership may also request to have their name(s), along with the proposed matter(s), included on the proxy form. Such request to be included must accompany submittal of the matter proposed for inclusion on the meeting notice and such matter must have been determined by the board of directors to be proper for inclusion in the notice.”

ARTICLE IV: MEMBERS’ VOTING PRIVILEGES
VOTE
Section 1. Each member in good standing shall be entitled to one vote, either in person, electronically (when approved by the board of directors) or by proxy, at all meetings of the members of USAA.
PROXIES
Section 2. All proxies shall be in writing (including telephonic, e-mail or other electronic methods approved by the board of directors) and shall be filed with the corporate secretary for verification and record at least seventy-two hours prior to the hour of the meeting. The corporate secretary shall determine the validity of such proxies, subject to the right of appeal to a committee of no less than three directors appointed by the chairman of the board of directors.
MAJORITY VOTE
Section 3. Subject to the provisions of Article XIII, Section 2, a majority vote of the members present in person or by proxy at any members’ meeting shall govern in all matters properly brought before the meeting.”

REMOVAL OF DIRECTORS
Section 6. Any director may be removed from office, with or without assigning any cause, by a majority vote of all the members or an affirmative vote of not less than two-thirds of the remaining directors.”

The USAA’s embrace of wokeness is a betrayal of its military members
I resigned my 54 year membership in USAA last month due to their DEI policies. I spoke to them about it on the phone. Told them they were pulling a “Budweiser “ when their membership finds out and that General McDermott is spinning in his grave. Very sad.
